1. Acceptance of Terms

By accessing or using SetGenius ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms apply to all visitors, users, and others who access or use SetGenius, including those who join our waitlist.

2. Description of Service

SetGenius is a setlist management and performance planning tool designed for musicians and bands. The Service includes:

• Setlist creation and organisation
• Song library management
• Performance planning tools
• Collaboration features for band members
• Pre-launch waitlist access

3. Waitlist

By joining the SetGenius waitlist, you agree to:

• Provide accurate contact information (email address)
• Receive occasional emails about SetGenius updates and launch news
• Understand that joining the waitlist does not guarantee access to the Service

You can unsubscribe from waitlist emails at any time by clicking the unsubscribe link in any email we send.

4. Account Registration

When the SetGenius app launches, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorised use of your account
• Accept responsibility for all activity that occurs under your account

You must be at least 18 years old to create an account. SetGenius is not intended for users under 18.

5. User Content

5.1 Your Content

You retain ownership of any content you create, upload, or store through SetGenius, including setlists, song data, and band information ("User Content").

5.2 Licence to SetGenius

By submitting User Content, you grant SetGenius a limited, non-exclusive, royalty-free licence to store, display, and process your content solely for the purpose of providing the Service to you.

5.3 Your Responsibilities

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the rights to the content you submit
• Your content does not infringe any third-party intellectual property rights
• Your content does not violate any applicable law or regulation

6. Prohibited Uses

You agree not to use SetGenius to:

• ❌ Violate any applicable law or regulation
• ❌ Infringe the intellectual property rights of others
• ❌ Transmit any harmful, offensive, or unlawful content
• ❌ Attempt to gain unauthorised access to the Service or its systems
• ❌ Interfere with or disrupt the integrity or performance of the Service
• ❌ Use automated scripts or bots to access the Service without permission
• ❌ Resell or commercially exploit the Service without authorisation
• ❌ Impersonate any person or entity

Violation of these prohibitions may result in immediate termination of your account.

7. Intellectual Property

The SetGenius name, logo, website design, software, and all related content are the property of SetGenius and are protected by applicable intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our express written permission.

8. Payments and Subscriptions

8.1 Paid Plans (When App Launches)

SetGenius will offer free and paid subscription plans. Details of pricing and features will be published when the app launches.

8.2 Payment Processing

Payments will be processed securely via Stripe. We do not store your payment card details. By subscribing to a paid plan, you authorise us to charge the applicable fees to your payment method.

8.3 Cancellation and Refunds

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of the current billing period
• We do not offer refunds for partial billing periods, except where required by law
• If you cancel within 14 days of your first payment (cooling-off period under UK consumer law), you may be entitled to a full refund — contact us at hello@setgenius.app

9. Privacy

Your use of SetGenius is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.

10. Third-Party Services

SetGenius may integrate with or link to third-party services (e.g. Spotify, YouTube, Stripe). These services are governed by their own terms of service and privacy policies. We are not responsible for the practices of any third-party services.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• Any defects or errors will be corrected
• The Service will meet your specific requirements

12. Limitation of Liability

To the fullest extent permitted by law, SetGenius and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service.

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid to SetGenius in the 12 months preceding the claim.

Note: Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you. Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

13. Termination

By You:

• You may stop using the Service at any time
• You may delete your account via account settings (when the app launches)

By Us:

• We may suspend or terminate your access if you violate these Terms
• We may discontinue the Service at any time with reasonable notice where possible
• In the event of termination, your right to use the Service ceases immediately

14. Governing Law

These Terms are governed by and construed in accordance with the laws of Jersey, Channel Islands and, where applicable, the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of Jersey.

If you are a consumer based in the UK or EU, you may also have rights under the consumer protection laws of your country of residence.

15. Changes to These Terms

We may update these Terms from time to time. When we make significant changes:

• We'll update the "Last Updated" date at the top
• We'll notify you via email (for registered users and waitlist members)
• We'll display a notice on our website

Your continued use of SetGenius after changes take effect means you accept the updated Terms. If you do not agree to the new Terms, please stop using the Service.
